How to use

Section 6 is the heart of a single-member agreement: member-managed authority means the owner can sign contracts, open bank accounts and hire without a second signature, because there is no other member to consult. Section 8 records the default tax treatment: the IRS treats a single-member LLC as a disregarded entity by default, so profits and losses pass through to the owner personal return unless a corporate election is filed. That election is a CPA conversation, not a checkbox here, which is why the section says so inside the document itself.

Keep the signed original with your company records and update it when reality changes: a capital increase, a new address or fiscal year, or the admission of a second member.
